Synopsis

ADLS/REINZ will release the 10th edition of the Agreement for Sale and Purchase of Real Estate on 27 November 2019.

The 10th edition is the result of a comprehensive review by a number of leading property lawyers working in conjunction with Peter Nolan in his capacity as adviser to the subcommittee and principal drafter of the revisions.

It has a number of significant amendments reflecting suggestions of practitioners and recent changes to the law in terms of legislation and judgments.

This seminar will outline and provide the rationale behind the changes, highlighting the impacts on both lawyers and their clients. 

Learning outcomes

  • An understanding of the principal changes to the agreement, including changes to the following clauses:

   -  tenancies;
   -  notices;
   -  vendor’s warranties and the associated revised Schedules;
   -  conditions;
   -  a revised clause providing a more expansive comprehensive
      mechanism for claims for compensation; and
   -  the GST provisions, including a significant change to better
      protect vendors.

  • Receive guidance on the implications of the changes for lawyers and clients and on legal practice.

Tim Jones

Tim, a barrister at Chancery Street Chambers, was previously the head of Glaister Ennor’s Land Development and Property team and a former President of the NZLS Auckland Branch. He was until recently the Convenor of the ADLS Documents and Precedents Committee.

Tim has over thirty years’ experience advising clients, including those from overseas, in residential and commercial property transactions and developments. He acts for bodies corporate covering all aspects of unit title ownership, body corporate governance, rules and function. Tim is frequently asked to give expert opinions and briefs on matters of a conveyancing nature.


Peter Nolan

Sole Practitioner

Peter has practised his whole legal career in the area of property law. He was a partner in large national law firms for 25 years and has been a sole practitioner since 2005. In 1999 he provided an independent review of the ADLS Forms Committee’s draft of the Seventh Edition of the Agreement for Sale & Purchase of Real Estate prior to finalisation of that form.

He was subsequently engaged by ADLS to be the principal drafter of the changes to the Agreement for the Eighth and Ninth Editions and to the various revisions of those editions.  More recently he has assisted with the drafting of the changes made for the new Tenth Edition. 

Peter was also the principal drafter of the agreements for the sale and purchase of real estate by auction and by tender. Peter has given expert evidence many times in the High Court, the District Court and in arbitrations on matters of conveyancing practice.

Allan heads Deloitte’s New Zealand GST practice.  He has over 20 years of experience in advising of all aspects of GST in both New Zealand and Canada and advises on all aspects of GST in New Zealand for a broad range of clients.

Allan is a frequent presenter on GST issues at conferences in New Zealand and internationally, and is a joint presenter of the GST course at the University of Auckland Masters of Taxation program.
